1. About these Terms
These Terms of Service (“Terms”) form an agreement between REC Enterprises Limited (“REC”, “we”, “us” or “our”) and the person or organisation accessing our website or using an REC-AI service (“you” or “Customer”). By accessing or using a service, you confirm that you have authority to accept these Terms for yourself or the organisation you represent.
Specific proposals, order forms, service agreements or written statements of work may contain additional terms. If they conflict with these Terms, the signed or specifically agreed service document controls for that service.
2. REC-AI services
REC provides intelligent customer communication and business automation solutions, including REC-AI Front Desk, REC-AI Connect, REC-AI Outreach and REC-AI Workflow. Features may include voice, WhatsApp, SMS, artificial intelligence, appointment support, customer enquiries, workflow automation, reporting and related implementation or support services.
The precise scope, configuration, channels and service period are those agreed with each Customer. We may improve or modify features where this does not materially remove contracted core functionality.
3. Business eligibility and account authority
REC-AI services are intended for legitimate business use. You must provide accurate onboarding and account information and keep it current. You represent that you have all authority required to connect, configure and operate each business account, telephone number, messaging asset, data source and third-party service supplied to REC.
You are responsible for safeguarding your own accounts, devices and credentials and for promptly notifying REC of suspected unauthorised access.
4. WhatsApp Business Platform
REC-AI Connect may allow a Customer to authorise access to its own WhatsApp Business Account and related assets through Meta’s approved onboarding process. The Customer retains ownership and control of those assets and may revoke REC’s authorised access through Meta business settings or by contacting REC.
Use of WhatsApp is also governed by Meta’s and WhatsApp’s applicable terms, commerce rules, messaging policies and technical requirements. Customers must obtain required consent, honour opt-outs and use approved message templates where required. REC may suspend messaging activity that appears unlawful, unauthorised or inconsistent with applicable platform policies.
5. Customer responsibilities
You are responsible for:
- The accuracy, legality and appropriateness of business information, instructions, content, offers, catalogues, contact lists and workflow rules you provide.
- Providing required notices and obtaining valid permission before contacting or processing information about individuals.
- Reviewing service configuration, automated responses and escalations before production use.
- Maintaining appropriate human oversight for sensitive, unusual or high-impact communications.
- Complying with applicable laws, industry rules and third-party platform requirements.
6. Acceptable use
You must not use REC services to send spam or deceptive communications; impersonate others; harass, threaten or discriminate; distribute unlawful, infringing or harmful material; collect information without authority; evade consent or opt-out requirements; compromise systems or credentials; or violate Meta, WhatsApp, telecommunications or other applicable platform policies.
REC may investigate suspected misuse and restrict or suspend affected access when reasonably necessary to protect users, customers, systems or legal compliance.
7. Artificial intelligence
REC-AI services may use artificial intelligence to interpret requests, generate responses, transcribe or summarise communications, classify interactions and support customer-approved workflows. AI output can be incomplete or incorrect and must not be treated as professional legal, medical, financial or emergency advice.
The Customer is responsible for determining appropriate use, configuring guardrails and providing human review where the context requires it. REC does not guarantee that every automated response will be error-free or suitable for every circumstance.
8. Fees and payment
Fees, billing frequency, taxes, payment method and any usage-based charges are established in the applicable proposal, order, invoice or service agreement. Unless otherwise agreed, amounts are due by the stated payment date. REC may suspend a paid service for overdue amounts after reasonable notice.
9. Privacy and data protection
REC processes personal information as described in our Privacy Policy. When REC processes communications or personal information on behalf of a Customer, the Customer generally determines the purpose of processing and REC acts as its service provider or processor.
Each party will apply reasonable safeguards and comply with its applicable data-protection obligations. Customers must not provide data that REC is not authorised or reasonably required to process for the agreed service.
10. Confidentiality
Each party will protect non-public business, technical and customer information received from the other and use it only for the agreed relationship, except where disclosure is authorised or required by law. This obligation does not cover information that is public through no breach, independently developed, or lawfully received without restriction.
11. Intellectual property
REC and its licensors retain ownership of the REC-AI services, software, designs, documentation, methods, trademarks and related intellectual property. The Customer retains ownership of its business content, data and branding. The Customer grants REC the limited rights necessary to host, process and transmit that material solely to provide, secure and support the service.
No ownership transfers unless expressly stated in a written agreement.
12. Third-party services
REC services may depend on third-party platforms and providers, including Meta, WhatsApp, telecommunications carriers, cloud infrastructure and artificial-intelligence services. Their availability, policies and technical changes are outside REC’s direct control. REC is not responsible for a third party’s independent acts, suspension or service failure, but will make reasonable efforts to manage integrations within the agreed scope.
13. Availability and support
REC aims to provide reliable services but does not guarantee uninterrupted or error-free operation. Maintenance, internet conditions, third-party platforms, security events and circumstances beyond reasonable control may affect availability. Support arrangements and service targets are those stated in the applicable service agreement.
14. Suspension and termination
Either party may end a service as provided in the applicable agreement. REC may suspend or terminate access for material breach, unlawful or unsafe use, platform-policy violations, security risk or non-payment, subject to reasonable notice where circumstances permit.
On termination, Customer access ends and information is returned, retained or deleted in accordance with the service agreement, our Privacy Policy and applicable law. Provisions that by their nature should survive termination remain effective.
15. Disclaimers
Except for commitments expressly made in writing, services are provided on an “as available” basis to the fullest extent permitted by law. REC does not guarantee a particular commercial result, customer response rate, sales outcome or uninterrupted operation of third-party platforms.
16. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, goodwill or data, arising from the services. REC’s aggregate liability relating to a service will not exceed the fees paid to REC for that service during the six months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct.
17. Governing law
These Terms are governed by the laws of Trinidad and Tobago. The courts of Trinidad and Tobago will have jurisdiction over disputes, unless the parties agree in writing to another dispute-resolution process.
18. Changes to these Terms
We may update these Terms to reflect changes in our services, providers or legal obligations. The current version will be published here with its effective date. Material changes affecting an active paid service may also be communicated through an appropriate customer channel.
